5. Client Obligations

6. Confidentiality
- 6.1 Confidential Information: Both parties agree to keep all confidential information, including but not limited to business practices, intellectual property, and personal data, confidential and not disclose it to third parties without prior written consent.
- 6.2 Data Protection: The Company agrees to protect the Client’s data in accordance with applicable data protection laws and the Company’s privacy policy.
7. Intellectual Property
- 7.1 Ownership: The Company retains all intellectual property rights to any tools, methodologies, software, or other materials developed during the course of the services.
- 7.2 License: The Client is granted a non-exclusive, non-transferable license to use any deliverables provided by the Company for the purposes outlined in the Service Agreement.
8. Warranties and Disclaimers
- 8.1 Service Warranties: The Company warrants that it will perform the services with reasonable care and skill.
- 8.2 Disclaimer of Liability: The Company is not responsible for any indirect, incidental, or consequential damages arising out of or in connection with the services provided, including but not limited to loss of data or loss of revenue.
9. Termination
- 9.1 Termination by Either Party: Either party may terminate the Agreement by providing [number of days] days’ written notice to the other party.
